1. Services Overview

2. Client Obligations

By engaging with FusionSpark Consulting Ltd, clients agree to the following obligations:

Provide accurate and complete information as required for the successful delivery of services.
Cooperate with our team and provide timely feedback or approval to ensure the smooth execution of projects.
Ensure all payments are made in accordance with the terms outlined in the payment section below.

3. Intellectual Property

All intellectual property (IP) rights related to any deliverables created during the engagement, including but not limited to reports, strategies, designs, and methodologies, are owned by FusionSpark Consulting Ltd, unless otherwise agreed upon in writing. Clients are granted a limited, non-exclusive, non-transferable license to use the deliverables solely for their intended purpose.

4. Confidentiality

Both parties agree to maintain confidentiality with respect to any proprietary or confidential information exchanged during the course of the engagement. This includes but is not limited to business plans, strategies, trade secrets, financial information, and client data. Confidentiality obligations will remain in effect even after the termination of the engagement.

5. Payment Terms

Clients agree to pay all fees in accordance with the payment schedule provided in the Service Agreement. Payment methods, invoicing, and due dates will be outlined in the specific contract for each engagement.

All payments must be made within the terms specified on the invoice.
Late payments may incur additional charges as outlined in the Service Agreement.
FusionSpark Consulting Ltd reserves the right to suspend or terminate Services if payments are not made within the agreed-upon terms.

6. Limitation of Liability

To the fullest extent permitted by law, FusionSpark Consulting Ltd shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or in connection with the use of our Services, even if we have been advised of the possibility of such damages.

7. Termination

Either party may terminate the engagement with written notice if the other party breaches any material provision of these Terms. Termination will not affect any accrued rights or obligations up to the date of termination.

8. Force Majeure

FusionSpark Consulting Ltd shall not be held liable for any delay or failure in performance due to events beyond our reasonable control, including but not limited to acts of God, natural disasters, governmental actions, or any other unforeseeable circumstances.

9. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction where FusionSpark Consulting Ltd is based. Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association.

10. Amendments

FusionSpark Consulting Ltd reserves the right to modify or amend these Terms at any time. Any changes to the Terms will be posted on our website and will become effective immediately upon posting. Continued use of the Services after such changes constitutes acceptance of the revised Terms.
